PROPERTY MARKETPLACE AGREEMENT

Property Partner Terms and Conditions

Version 2026-08-31 · Applies to hotels, homestays, resorts, villas, hostels and guest houses listing on Homiyo.

1. Agreement and authority

By registering, the person accepting confirms that they are at least 18 years old, are authorised to bind the property and its operating entity, and that all registration and KYC information is complete and accurate. These Terms, applicable booking policies and any commercial schedule accepted by the Partner form the agreement with Homiyo.

2. Homiyo’s marketplace role

Homiyo provides technology for discovery, listing, booking, payment facilitation and property operations. Unless expressly stated otherwise, the accommodation contract and all on-premises hospitality services are supplied by the Partner directly to the guest. Homiyo does not own, possess, manage or control the Partner’s premises, staff or day-to-day stay experience.

3. Partner responsibilities

The Partner is solely responsible for lawful operation of the property; licences and registrations; fire, building, health, food, labour and local compliance; guest safety and security; staff conduct; cleanliness; amenities; accessibility disclosures; check-in identification; and timely handling of emergencies and guest complaints. The Partner must maintain appropriate insurance and appoint a guest grievance contact.

4. Listing accuracy and fair dealing

The Partner must keep names, addresses, photographs, room descriptions, amenities, availability, rates, taxes, fees, policies and restrictions accurate and current. The Partner must not mislead guests, manipulate reviews, discriminate unlawfully, impose undisclosed charges, or engage in unfair trade practices. Advertised services must match what guests receive.

5. Bookings, cancellations and refunds

The Partner must honour confirmed bookings at the displayed price and terms. Relocation, cancellation, refund, no-show and modification rules displayed when the guest books apply, subject to applicable law. If accommodation or services are unavailable, unsafe, deficient, materially different from the listing or not supplied as agreed, the Partner is responsible for prompt guest assistance and all refunds, relocation costs, compensation or other remedies attributable to the Partner.

6. Guest incidents, claims and legal action

The Partner is responsible for acts, omissions, negligence and legal non-compliance arising from the premises or stay, including injury, illness, theft, property damage, privacy violations, discrimination, harassment, service deficiency and staff or contractor conduct. The Partner must promptly investigate incidents, preserve records, cooperate with authorities and notify Homiyo of material claims.

To the maximum extent permitted by law, Homiyo is not liable for a claim or legal action arising from the Partner’s premises, staff, facilities, food, transport, activities or performance of the stay. The Partner will defend, indemnify and hold harmless Homiyo and its personnel from third-party claims, losses, penalties and reasonable legal costs arising from the Partner’s breach, negligence, misconduct, listing, taxes or stay services. This does not apply to the extent a claim results from Homiyo’s own negligence, fraud, wilful misconduct, breach of law, or another liability that cannot be excluded.

7. Marketplace compliance and cooperation

The Partner must provide information required for consumer disclosures and grievance redressal, respond to complaints within legally required timelines, cooperate with chargebacks and investigations, and retain booking, tax and incident records. Homiyo may share necessary Partner information with guests, payment providers, insurers, professional advisers or lawful authorities in accordance with applicable law and its privacy notice.

8. Payments, taxes and charges

The Partner authorises Homiyo and its payment providers to collect booking amounts, deduct agreed commissions, refunds, chargebacks, taxes or other authorised sums, and remit the balance according to the settlement schedule. The Partner is responsible for its invoices, GST and other taxes, registrations and filings unless a written commercial schedule states otherwise.

9. Content and intellectual property

The Partner confirms it owns or may use all uploaded content and grants Homiyo a worldwide, non-exclusive, royalty-free licence to host, reproduce, adapt and display it for operating and marketing the marketplace. The Partner must not upload unlawful, deceptive or infringing material.

10. Data and confidentiality

Guest personal data may be used only to fulfil bookings, provide lawful hospitality services and meet legal duties. The Partner must protect it with reasonable safeguards, limit staff access, report suspected breaches promptly, and not use guest details for unsolicited marketing without valid consent.

11. Suspension and termination

Homiyo may restrict listings, payouts or access where reasonably necessary for safety, fraud prevention, complaints, legal compliance, unpaid amounts or breach of these Terms. Either party may terminate according to the applicable commercial schedule, but existing bookings, payments, confidentiality, indemnity and accrued obligations survive as appropriate.

12. Liability limits

To the maximum extent permitted by law, neither party is liable to the other for indirect or consequential business losses. Any monetary cap stated in an applicable commercial schedule does not limit fraud, wilful misconduct, confidentiality or data breaches, indemnity obligations, payment obligations, personal injury caused by negligence, or liability that applicable law does not permit to be limited.

13. Law, disputes and changes

Indian law governs these Terms. The parties should first attempt good-faith resolution through their designated contacts. Courts with lawful jurisdiction apply unless a separately accepted commercial schedule provides a valid dispute-resolution process. Homiyo may update these Terms prospectively with reasonable notice; material changes may require renewed acceptance.
